Course Description:
The rationale behind every module is to offer the student all possible knowledge in each module of the course, in order to be able to deepen their understanding and render them capable of practically applying it. Corporate and Business Law will familiarize students with the Principles of Corporate Law, internationally and on a local level. As with Taxation and Tax Law, this module will enable students to understand the practical application of its principles, while aid them develop their critical and legal thinking skills.
After completion of the course students are expected to be able to:
Explain and analyse the importance of contract law and to make them aware of the requirements for the formation of a contract, of the remedies for breach of contract and of the main principles of contract law.
Explain the different types of partnerships in Zambian Law and to compare partnerships with companies and sole traders.
Explain the various types of companies in Zambian law
Distinguish between the role of the board and the role of the shareholder
Compare between shares and debentures
Apply the procedure to register and liquidate a company.
Explain the importance of corporate governance
Identify and explain the main employment legislation
Identify the various types of torts
Prerequisites: UU-Bsc-IND100-ZM, UU-FNT-103-ZM
