Course Description:
Background and Rationale
This course aims to introduce in-depth knowledge and understanding of Corporate Structure and its fundamental concepts, as well as the implications of Corporate Governance and in particular the Director’s roles and responsibilities. The course will also examine the Shareholder’s Rights and Remedies and critically assess various related case law issues. Finally, the course will examine various Corporate Finance instruments and Corporate Liquidation.
Learning outcomes
At the end of the course students will be expected to:
1) Analyse the role and importance of Corporate and Governance Law.
2) Examine Corporate and Governance Law.
3) Apply Corporate and Governance Law.
4) Produce academic writing to a high standard of scholarship, including writing effectively in the English language and presenting information and ideas in a manner that meets relevant academic conventions.
